Submission of a vendor application does not guarantee acceptance. Market Management reserves the right to approve, deny, or remove vendors at its sole discretion. Approved vendors will be contacted directly to confirm participation.

Participation & Agreement

Participation in the Boca Farmers Market constitutes acceptance of and agreement to all guidelines, policies, and terms outlined in this document, including but not limited to operational requirements, safety standards, payment terms, insurance requirements, cancellation policies, refund policies, weather policies, and indemnification provisions.

These terms apply to all vendors, participants, employees, representatives, and volunteers associated with a vendor’s booth.

These guidelines are incorporated by reference into all vendor applications, approvals, communications, and participation in the market.

Participation in any market date, submission of payment, or setup of a booth constitutes full and binding acceptance of these terms, whether or not a physical signature is provided.

Additional Market Locations & Satellite Events

These Vendor Guidelines & Participation Terms apply to the Boca Farmers Market and any affiliated markets, pop-up markets, satellite markets, private markets, or special event markets operated or managed by Market Management, including but not limited to the BRiC Lunch Market and Boca West Country Club Farmers Market. 

Participation in any affiliated market constitutes acceptance of these same terms unless otherwise stated in writing.

 

Vendor Application Information

Vendors are required to fill out an application through the Boca Farmers Market website.

 

Products for Sale

Vendors may sell only items that have been submitted and approved by Market Management. Any additions or changes to products require prior written approval. Unapproved items may be removed immediately and may affect future participation.

 

Booth Space & Equipment

Vendors are provided a 10’ x 10’ booth space.

Vendors must supply their own white 10’ x 10’ tent, unless otherwise approved.

Vendors are responsible for all tables, table coverings, chairs, signage, and equipment.

Use of non-standard tents, generators, smokers, barbeques, or other cooking devices requires prior approval.

Vendors are solely responsible for obtaining and maintaining all required permits, licenses, and approvals, which must be available onsite for inspection.

 

Setup, Operations & Breakdown

Setup begins at 7:45 AM.

Booths must be fully set up by 8:30 AM.

Vendors arriving after 9:00 AM may not be accommodated.

Breakdown may not begin before 1:00 PM.

Vendors must vacate the site by 2:00 PM, removing all materials and trash.

Early Departure & Assumption of Risk

During normal market operations, vendors are required to remain fully set up and open until 1:00 PM, even if products sell out.

Early breakdown is not permitted under standard market conditions.

If a vendor experiences an emergency or unforeseen circumstance requiring early departure, the vendor must notify Market Management prior to beginning breakdown.

Any vendor who breaks down early, whether approved due to emergency or otherwise, does so at their own risk and assumes full responsibility for any injury, property damage, vehicle incident, or disruption resulting from early departure.

Vendors agree to indemnify and hold harmless Market Management for any claims arising from early breakdown or vehicle movement prior to 1:00 PM.

Unauthorized early breakdown may affect future participation.

Vehicle Restrictions & Site Safety

For the safety of vendors, customers, and staff:

• All vendor vehicles must be on-site and checked in no later than 8:10 AM.
• All vehicles must be completely unloaded and removed from the vendor area by 8:30 AM.
• No vehicles are permitted in the vendor area after 8:30 AM under normal market conditions.
• Vendors arriving after 8:10 AM will not be permitted to drive into the vendor area and must unload from designated loading areas and hand-carry equipment.
• Vehicles may not re-enter the vendor area until after 1:00 PM and only when directed by Market Management.

Vendors are solely responsible for any damage, injury, delay, or citations resulting from unauthorized vehicle access.

Market Management reserves the right to deny vehicle entry for safety or operational reasons.

Fines, Citations & Code Violations

Any citations, fines, penalties, or enforcement actions issued by city, county, fire, health, or other authorities as a result of a vendor’s conduct, equipment, setup, products, or non-compliance shall be the sole responsibility of the vendor.

Vendors agree to reimburse Market Management for any fines or penalties assessed against the market entity that result from vendor non-compliance.

Safety & Tent Requirements

Each tent leg must have a minimum of 20 lbs securely attached per leg (80 lbs total). Sandbags, water weights, or concrete weights must be physically attached to the tent frame at all times.

Vendors without proper tent weights may be denied setup or required to correct the issue immediately. Non-compliant vendors may be denied participation for that market day without refund.

Tents must be clean, stable, and maintained in safe working condition.

Vendors are solely responsible for securing all tents, canopies, signage, banners, displays, merchandise, equipment, and any other materials against wind or weather-related movement. All items must be properly weighted, tied down, or otherwise secured at all times.

Vendors are solely responsible for any damage, injury, or loss caused by their tent, equipment, displays, merchandise, or failure to properly secure materials. Market Management is not responsible for damage or injury resulting from unsecured or wind-displaced materials.

 

Generators & Safety Requirements

Small, quiet generators under 5KW may be permitted only with prior written approval from Market Management.

Vendors using generators do so at their own risk and are solely responsible for safe operation, proper fuel storage, equipment placement, cord management, and compliance with all applicable federal, state, county, and local laws, ordinances, regulations, fire codes, and health department requirements.

All generators must be well-maintained, non-smoking, and positioned away from customers, neighboring booths, vehicles, and combustible materials. Fuel must be stored safely in approved containers and in accordance with all applicable fire regulations.

A fully operational fire extinguisher must be present in the vendor’s booth at all times when a generator is in use.

Safety & Trip Hazards

Vendors are solely responsible for maintaining a safe and hazard-free booth space at all times.

All extension cords, cables, hoses, tent straps, fuel containers, and related equipment must be properly secured and positioned so as not to create trip hazards. Cords may not cross customer walkways unless properly covered, secured, and approved by Market Management. Loose or exposed wiring is strictly prohibited.

Vendors assume full responsibility for any injury, damage, loss, or claims arising from generator use or unsafe booth setup.

Market Management reserves the right to require immediate correction of any unsafe condition and may require generator shutdown or vendor removal for failure to comply.

The Boca Farmers Market, its property owner, management, employees, agents, volunteers, and organizers shall be held harmless from and against any claims, damages, losses, liabilities, or expenses arising out of or related to vendor generator use or equipment setup.

 

Booth Standards

Vendors must remain within their designated booth space. Tables must be covered with clean tablecloths. Pricing must be clearly visible. Booths must be clean and professional. Subletting or sharing booths is not permitted.

Vendor-to-Vendor Disputes

Market Management is not responsible for disputes between vendors, including but not limited to product similarity, business practices, space disputes, or alleged damages. Vendors agree to resolve disputes independently and release Market Management from any related claims.

 

No Exclusivity

The Boca Farmers Market does not guarantee exclusivity. Multiple vendors may offer similar or comparable products. Participation does not confer exclusive rights to sell any product category.

 

Market Management reserves the right to manage booth appearance, vendor mix, site layout, and booth placement to maintain a balanced, high-quality, and safe market environment.

 

Weather Policy (Rain or Shine / Vendor Discretion)

The market operates rain or shine. Market Management will make reasonable, good-faith determinations regarding market operations based on weather conditions, site safety, and guidance from property management or local authorities. Vendors are not required to attend or operate during periods of inclement or unsafe weather. The decision to attend, arrive late, remain on-site, or depart early due to weather conditions is solely at the vendor’s discretion and risk. If a vendor elects not to attend, arrives late, or leaves early due to weather conditions, vendor fees remain due and non-refundable, and the missed market remains part of the paid billing period. Market Management is not responsible for vendor decisions related to weather, nor for any loss, damage, or injury resulting from a vendor’s choice to attend or not attend during inclement conditions.

 

Payment, Subscription Cancellation, Refunds & Credits Policy

Vendor fees are non-refundable. No refunds or credits are issued, including if the market is canceled by Market Management.

Vendor payments are processed automatically every four (4) weeks. By participating in the Boca Farmers Market, vendors agree to recurring automatic billing for each four-week cycle and commit to four (4) consecutive markets per billing period.

Vendors are solely responsible for managing their subscription and must either:

• Provide written cancellation notice to Market Management at least seven (7) days prior to the next billing date, or
• Log into their vendor account and cancel their automatic subscription prior to the next billing date.

Failure to cancel before the billing date will result in the next four-week charge being processed. Once processed, fees are non-refundable and binding.

Missed markets — whether due to weather, personal scheduling conflicts, emergencies, or other circumstances — remain part of the paid billing period.

Market Management reserves the right to cancel market dates due to emergencies, government directives, severe weather, site restrictions, or other unforeseen circumstances. Such cancellations do not create an obligation for refunds or credits.

If Market Management, in its sole discretion, elects to issue a refund or credit, any approved refund or credit will be issued net of applicable credit card processing fees, platform service fees, administrative costs, or other transaction-related expenses.

Improper chargebacks or payment disputes filed in violation of these agreed terms may result in immediate removal from the market and recovery of any associated fees, penalties, administrative costs, or collection expenses.

Insurance Requirement

All vendors must maintain appropriate insurance coverage and provide two (2) separate Certificates of Insurance (COIs) prior to participation in the Boca Farmers Market. Vendors without valid COIs for both entities may not be permitted to participate.

 

Independent Vendor Relationship

Vendors are independent contractors and are not employees, partners, agents, or representatives of the Boca Farmers Market or Market Management. Participation does not create any employment, partnership, joint venture, or agency relationship.

 

Compliance With Laws

Vendors are solely responsible for complying with all applicable federal, state, county, and local laws, regulations, health codes, labeling requirements, and licensing requirements related to their products and operations.

 

Indemnification & Hold Harmless

To the fullest extent permitted by law, vendors agree to indemnify, defend, and hold harmless The Market Crew, LLC, Boca Farmers Market, Cove Farmers Market, Real Food Boca, LLC, and their respective owners, officers, employees, volunteers, partners, property owners, property managers, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney’s fees) arising out of or related to vendor participation, products, equipment, conduct, or failure to comply with market rules. Vendors participate at their own risk. Market entities are not responsible for loss, theft, damage, or injury to vendor property or personnel. Vendor waives any claim for consequential, incidental, or lost-profit damages against Market Management.

 

Force Majeure

Market Management shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, severe weather events, fire, flood, government orders, public emergencies, or site unavailability.

 

Site Conditions & Assumption of Risk

The market is held outdoors and may involve uneven surfaces, weather-related conditions, crowds, and other typical outdoor risks. Vendors voluntarily assume all risks associated with participation and agree to exercise reasonable care at all times.

 

Final Note

These guidelines are intended to ensure a safe, professional, and welcoming market for all. Market Management reserves the right to interpret, enforce, and update these terms as necessary. These terms constitute the entire agreement regarding market participation and supersede any prior verbal statements, informal communications, or representations.
